SESSION CONTRACT AGREEMENT

Session Type: Individual Headshot Session

Approximate Length of Session:  1/2 hour

Approximate Photos Delivered:  10 (additional photos, if desired, may be added at an additional cost)

Session Price:  $150 (unless promotional adjustments are offered)

TERMS AND CONDITIONS

The individual agreeing to this Contract is doing so in representation of all parties to be photographed, and hereafter will be referred to as “Client.” It is understood that Client is entering into a formal agreement (hereafter referred to as “Contract”) with Joshua Rogers Photography, LLC (also referred to as the “Photographer”). This Contract constitutes the entire agreement between both parties and will apply to all future transactions.

It is understood that Joshua Rogers Photography, LLC is the exclusive official Photographer retained to perform photographic services requested in this “Contract.”

Prior to the final payment, Client will digitally sign to acknowledge they have read, understand, and agree to the terms. Upon signature and receipt of session fee, the Photographer shall reserve the time and date agreed upon.

CLIENT ACKNOWLEDGEMENT OF AND AGREEMENT TO SPECIFIC CONTRACT TERMS

I. Creative Fee: Client agrees to pay Joshua Rogers Photography, LLC a deposit towards the session fee at the time of booking to secure their appointment. This is a non-refundable fee. The fee may be transferred to another session as long as the session is booked within a year of when the fee was paid. The remaining portion of the session fee is due one week prior to the session date. The fee covers the time and talent of Joshua Rogers Photography, LLC as well as the creative editing of images and an online gallery of those images for direct download by the Client.

II. Pricing: Client agrees to the pricing policies on Joshua Rogers Photography, LLC's website at the time of booking. Customized quotes are based on the needs of the client and may therefore vary. These quotes are subject to change at any time until the initial deposit is paid. After the nonrefundable deposit is paid, the quote is locked in.

III. Travel Fees: Joshua Rogers Photography, LLC does not charge a travel fee for any location within 15 miles of the 74037 zip code. Any location outside of these limits may be subject to an additional charge agreed to before the shoot. 

IV. Rescheduling: If an illness or situation prevents a photo session from taking place, Client may reschedule their session if notice is provided at least 24 hours prior to their session start time. Should Client fail to give 24 hours notice, or decide to completely cancel the shoot, this session fee is forfeited, and Client will need to rebook a session with Joshua Rogers Photography at their current rates. It is at the sole discretion of the Photographer if a reschedule date will be accepted if 24 hours notice is not given.

V. Re-Shoots: Re-shoots will not be given for poor choices of clothing, make-up, children who are completely out of sorts, or by not following the recommendations of the Photographer. Re-shoots are determined at the sole discretion of the Photographer. If inclement weather is in the forecast, the session will be rescheduled prior to the scheduled time.

VI. Proofs:  A secure, password protected online gallery featuring the number of images agree upon by Client and Photographer at the time of booking will be delivered to Client within (4) weeks of the session date for sessions including 20 images or less. For sessions that include over 20 images, please expect a turnaround time of up to (6) weeks. Rush orders of either a few images or the entire session is subject to a fee of 20% of the session cost and will be applied at the sole discretion of the Photographer.

VII. Gallery Availability: A notification will be sent to Client once the proof gallery is available for viewing/downloading/print ordering. The gallery will remain active for 30 days. After 30 days, the gallery will expire. There will be a $25 fee for gallery re-activation. The re-activation period is 14 days.

VIII. Archive: All edited images will be available for ordering and downloading for two (2) months following the delivery of Client proof gallery. After two (2) months, all images will be purged from the Photographer's hard drive, with the exception of those images Joshua Rogers Photography selects for use for marketing and /or promotional purposes, to be determined by the Photographer at the Photographer's sole discretion. Photographer is not responsible for loss or damage to the digital files due to circumstances beyond Photographer's control.

IX. Ordering: Due to the custom nature of each session, all sales are final. Once print orders are placed, they go into processing at the lab immediately; therefore any print orders placed cannot be cancelled. Any changes to print orders are at the Client's expense. No part of any order will be delivered until the balance is paid in full.

X. Liability: Photographer is not responsible for any injuries inflicted upon any participating parties. Client(s) will be responsible for their children and for themselves and release Joshua Rogers Photography and Joshua Rogers from any claims against their person or business.

XI. Copyright & Penalty: Per Title 17 of U.S. Code (US Copyright Act), it is ILLEGAL to copy, reproduce, or alter in any way the photographs taken by Joshua Rogers Photography without the express permission of Joshua Rogers Photography. Violators of this Federal Law will be subjected to its civil and criminal penalties. Joshua Rogers Photography retains full copyright to all images created during Client's session. A print release is included with the proof gallery to print portraits for personal use by Client only. The print release does not extend to anyone outside the immediate family (in the same household) of Client. The print release does not allow publication of your portraits (i.e. entering in contests), selling, or altering of your images without the Photographer's written permission.

XII. Session Terms: No cameras/camcorders/any type of recording device (this includes cell phone cameras) are allowed during the session unless prior arrangements have been made between Client and Photographer, including a written agreement. The Photographer will not continue if there are other cameras or videotaping during the session. Only those being photographed and/or immediate family (unless otherwise stated) will be present during the session.

GENERAL TERMS AND CONDITIONS

Joshua Rogers Photography reserves the right to use images created under this Contract for advertising, display, publication, or other purposes. The Client signing this Contract warrants that he or she has actual authority to agree to the use of the likeness of all persons included in the portrait in this manner and shall indemnify and defend Joshua Rogers Photography in the event of litigation arising out of such use. Negatives, digital files, and previews remain the exclusive property of Joshua Rogers Photography.

If Joshua Rogers Photography cannot perform this Contract due to fire or other casualty, strike, act of God, or other cause beyond the control of the parties, or due to personal illness or emergency, then Joshua Rogers Photography shall return the session fee to the Client but shall have no further liability with respect to the Contract. This limitation on liability shall also apply in the event that photographic materials are damaged in processing, lost through camera or media malfunction, lost in the mail, or otherwise lost or damaged without fault on the part of Joshua Rogers Photography. In the event Joshua Rogers Photography fails to perform for any other reason, the Photographer shall not be liable for any amount in excess of all monies paid. Client is aware that color dyes in prints may fade or discolor over time due to the inherent quality of dyes, and the Client releases Joshua Rogers Photography from any liability for any claims whatsoever based upon fading or discoloration due to such inherent qualities.

The charges in this Contract are based on Joshua Rogers Photography, LLC's standard price list. The price list is adjusted periodically and future orders and/or fees shall be changed at the prices in effect at the time the order is placed and/or the session is booked.  Session fees are nonrefundable, but are fully transferable to future dates as long as that session is booked within a year of when payment is received.

This Contract incorporates the entire understanding of the parties and is governed by the laws of Tulsa County, OK. Any modifications of this Contract must be in writing and signed by both parties.
